Terms of Service

These are the terms that govern your use of Signal Mama — the app, the website, the API, and everything we ship under the signalmama.com domain. We tried to keep them short and plain-English. Questions: [email protected].

The short version

In plain English
Sign up, use Mama for outbound research, pay if you're on a paid plan, cancel anytime. Your data stays yours. Our product stays ours. We don't bill annually unless you ask, we don't auto-renew without telling you, and we don't lock you in. If something breaks badly enough that you want out, you can leave.

These Terms of Service ("Terms") form a binding agreement between you and Signal Mama, Inc. ("Signal Mama", "we", "us"). By creating an account or using any part of the Signal Mama service, you agree to these Terms.

If you're agreeing on behalf of a company, you're representing that you have authority to bind that company. If you don't have that authority — wait until someone who does.

Account & access

In plain English
One account per person. Keep your credentials secret. You're responsible for what happens under your account — including any seats you invite. If you suspect unauthorized access, email [email protected] immediately.

2.1 Creating an account

You may sign up for Signal Mama with a valid email address. You must be at least 18 years old and capable of forming a binding contract. We don't offer Mama to minors or to anyone barred from receiving the service under applicable law.

2.2 Account credentials

You are responsible for safeguarding your account credentials and for any activity under your account. We strongly recommend enabling SSO + MFA (both included on Team and Pro at no extra cost). See /security for our access-control posture.

2.3 Team accounts & seats

On Team and Pro, the account owner ("Admin") may invite additional seats with assigned roles (Manager, Rep). The Admin is responsible for managing seat membership, removing departed employees, and ensuring all seat users comply with these Terms. Seat additions and removals are prorated and reflect on the next monthly invoice.

Acceptable use

Use Mama for legitimate B2B outbound research. Don't do anything illegal, harmful, or that violates someone else's rights. Don't try to break the rate limits, scrape our content beyond your subscription, or use Mama to spam.

You agree NOT to use Signal Mama to:

  • Send spam, harass, or otherwise abuse the contacts you research. Mama provides research; you're responsible for compliance with CAN-SPAM, GDPR, CASL, and other anti-spam and privacy laws in your jurisdiction and theirs.
  • Scrape, copy, or republish Mama's brief synthesis, signal data, or other proprietary output for resale or as a standalone product.
  • Reverse-engineer, decompile, or attempt to extract our scoring algorithms, signal-detection logic, or internal models.
  • Circumvent rate limits, security measures, or access controls, including by sharing API keys across organizations or using multiple accounts to exceed tier limits.
  • Resell or sublicense access to Signal Mama outside the consultancy-tier usage we explicitly support on the Pro plan.
  • Upload illegal, malicious, or infringing content to your workspace, including via the custom-signal API.
  • Use Mama to research individuals as individuals, rather than as professionals at a company. Mama is a B2B research tool; targeting individuals based on protected characteristics is out of scope and prohibited.

If we determine you've violated these acceptable-use rules, we may suspend or terminate your account. For minor or first-time violations we'll usually reach out first; for serious violations (CSAM, harassment, fraud) we'll suspend immediately and may report as legally required.

Pricing & billing

Monthly billing by default. Card charged at the start of each billing cycle. Annual billing only if you ask. Free tier doesn't require a credit card. If we change prices, we'll tell you 30 days in advance and your current rate stays in effect through your next renewal.

4.1 Plans & prices

Current plans and pricing are published at /pricing. Solo: $49/month. Team: $199/month (includes 5 seats; additional seats $35/month each). Pro: $599/month. All prices in USD unless otherwise noted on your invoice.

4.2 Billing cycle

Billing cycles are monthly by default. Your payment method (handled by Stripe) is charged at the start of each cycle. Annual billing is available on request — email [email protected]. Annual customers pay upfront; no automatic mid-term price changes.

4.3 Taxes

Prices do not include sales tax, VAT, GST, or other transaction taxes, which may be added depending on your billing location. Stripe handles tax calculation at checkout.

4.4 Price changes

If we change list prices, we'll notify existing customers at least 30 days in advance via email. Your existing rate remains in effect through your then-current billing cycle. Launch partners (see /customers) get lifetime grandfathered pricing on the tier they signed up for.

4.5 Failed payments

If a charge fails, we'll retry over 3 business days and email you. If the issue isn't resolved within 7 days, we'll suspend the account; your data remains intact for 30 days so you have a window to update billing and reactivate. After 30 days of continued non-payment, the account may be permanently deactivated (with data deletion per our Privacy Policy).

Plan changes & cancellation

Upgrade anytime (effective immediately, prorated). Downgrade anytime (effective at next cycle). Cancel anytime, no exit fee. We don't do "cancel by phone only" or hidden cancellation flows.

5.1 Upgrades

Plan upgrades take effect immediately. We prorate the cost of the upgraded plan against your current billing cycle and add the proration to the next invoice (or charge it at upgrade if the difference is significant).

5.2 Downgrades

Downgrades take effect at the start of your next billing cycle. You keep access to higher-tier features through the end of the current cycle.

5.3 Cancellation

Cancel anytime from the account settings or by emailing [email protected]. No cancellation fee. You retain access through the end of the current billing cycle. We don't ask why or run a "save" flow — but we do appreciate a quick note explaining why if you have a moment.

5.4 Refunds

Monthly plans are non-refundable for the partial month of cancellation. Annual plans are eligible for a prorated refund of unused months if you cancel for cause (i.e., we materially breached these Terms and didn't cure within 30 days of written notice).

Intellectual property

In plain English
Your data is yours. The product is ours. The output (briefs) is licensed to you for your use. Mama doesn't claim ownership of the briefs you generate; you can paste them into cold emails, share them with your team, export them — that's exactly the point.

6.1 Customer data

You retain all rights to the data you upload to Mama — your CRM accounts, your ICP rubric, your custom signals (Pro), your brief annotations. We use this data solely to provide the service to you. We do not use customer data to train external AI models, sell to third parties, or for any purpose outside operating the product.

6.2 Mama IP

Signal Mama, the brand, the brief format, our signal-detection logic, our scoring algorithms, our UI, our documentation, and all other intellectual property associated with the product remain our exclusive property. Nothing in these Terms grants you any ownership of Mama's IP.

6.3 Brief output license

Briefs generated by Mama based on your ICP and account list are licensed to you for use in your business activities — including pasting into cold emails, sharing with your team, embedding in CRM activity records, exporting to PDF, and publishing on shared workspace URLs. You may not resell, sublicense, or repackage briefs as a standalone product without our written permission (consultancy tier expressly permitted under the Pro plan).

6.4 Feedback

If you send us feature ideas, bug reports, or other feedback — thank you. We may use this feedback to improve Mama without attribution or compensation. (If you want attribution, ask and we'll include you in the relevant changelog entry.)

Confidentiality

In plain English
If you share confidential information with us (or vice versa), we both keep it confidential. Standard mutual NDA terms apply, even without a separate signed NDA.

Each party agrees that information disclosed by the other and marked or reasonably identifiable as confidential ("Confidential Information") will be held in confidence, used only for purposes of these Terms, and protected with at least the same degree of care as the receiving party uses for its own confidential information (and never less than reasonable care). Confidentiality obligations survive termination for three (3) years.

Confidential Information does not include information that is or becomes publicly available without breach, was rightfully known prior to disclosure, is rightfully received from a third party without confidentiality obligation, or is independently developed without use of Confidential Information.

Disclaimers & warranties

Mama is provided "as-is" with no warranty of fitness for any particular purpose. We work hard to make the product accurate and reliable, but we can't guarantee it will never have errors. The all-caps language below is required by law for limitations like this.
Required language
EXCEPT AS EXPRESSLY PROVIDED, SIGNAL MAMA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SIGNAL MAMA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

In plain English: we try to make Mama reliable and accurate, and we publicly post our status page. But software has bugs, third-party data sources change, and we can't guarantee perfection. If you spot an error in a brief or a signal, email us — we'll fix it.

Limitation of liability

In plain English
Our liability to you for any claim is capped at the amount you've paid us in the 12 months before the claim. This is standard B2B SaaS language; the all-caps is legally required.
Required language
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIGNAL MAMA OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF SIGNAL MAMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL SIGNAL MAMA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO SIGNAL MAMA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

These limits do not apply to: (a) breach of confidentiality, (b) infringement of intellectual property rights, (c) indemnification obligations, or (d) gross negligence or willful misconduct.

Indemnification

We've got your back on IP infringement claims about the product. You've got our back on claims arising from your misuse of the product. Mutual.

9.1 By Signal Mama

We will defend you against any third-party claim that the Signal Mama service, as used in compliance with these Terms, infringes that party's intellectual property rights, and we will pay any damages finally awarded or settled. Conditions: you give us prompt written notice, allow us to control the defense, and cooperate reasonably.

9.2 By you

You will defend us against any third-party claim arising from your misuse of Signal Mama in violation of these Terms, including but not limited to: violating the Acceptable Use section, infringing on third-party privacy rights via your outreach, or breaching applicable laws using Mama-generated content. You will pay any damages finally awarded or settled, on the same procedural conditions described above.

Termination

In plain English
Either side can end this for any reason with 30 days' notice (we usually don't, but it's our right). For material breach not cured within 30 days, the other side can terminate immediately.

Either party may terminate these Terms:

  • For convenience — with 30 days' written notice (email is fine)
  • For material breach — if the other side materially breaches and fails to cure within 30 days of written notice
  • Immediately — for insolvency, bankruptcy, or assignment for benefit of creditors

On termination: your access to Mama ends at the end of your current billing cycle (or immediately, for material-breach termination by us). You can export your data via our API or by emailing us; export remains available for 30 days post-termination. After 30 days, your data is permanently deleted from primary storage (90 days from backups), unless we're legally required to retain it longer.

Sections that by their nature should survive termination (IP, confidentiality, disclaimers, liability limits, indemnification, governing law) survive termination.

Governing law & contact

Delaware law, US federal courts in Delaware. Most disputes resolved via direct conversation; arbitration only if everything else fails. For questions: [email protected].

12.1 Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Dispute resolution

Before filing any formal claim, both parties agree to attempt resolution through direct discussion for at least 30 days. Email [email protected] with the nature of the dispute and we will respond within 5 business days. If we can't resolve it together, any unresolved dispute will be filed in the state or federal courts located in Delaware, and both parties consent to jurisdiction there.

12.3 Changes to these Terms

We may update these Terms as our product evolves. The latest version always lives at /legal/terms with a "last updated" date. For material changes, we will notify the workspace admin at least 30 days in advance via email. If you don't agree to the changes, you may terminate your account before the changes take effect.
